These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Alpha2Zulu Marketing ("Alpha2Zulu," "we," "us," or "our") regarding your use of our website at alpha2zulumarketing.com and any marketing services we provide.

- Submitting a contact form or service request
- Entering into a service agreement with us
- Using our client portal or admin panel
You acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Services
2.1 Service Description
Alpha2Zulu Marketing provides comprehensive digital marketing services, including but not limited to:
- Website design, development, and maintenance
- Search Engine Optimization (SEO)
- Content creation and strategy
- Social media management and marketing
- Brand identity and logo design
- Email marketing campaigns
- Digital advertising and PPC management
- Analytics and reporting
- Consulting and strategy services
2.2 Service Agreements
Specific services will be detailed in individual service agreements, proposals, or statements of work ("SOW"). In the event of a conflict between these Terms and a service agreement, the service agreement shall prevail with respect to those specific services.
2.3 Changes to Services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to active clients.
3. Client Responsibilities
3.1 Cooperation and Communication
You agree to:
- Provide timely responses to our communications and requests
- Supply necessary materials, content, and information for project completion
- Review and approve deliverables within agreed timeframes
- Provide constructive feedback in a timely manner
- Maintain open and professional communication
3.2 Content and Materials
You are responsible for:
- The accuracy and legality of all content you provide
- Ensuring you have the rights to use any materials you supply
- Obtaining necessary permissions for third-party content
- Complying with all applicable laws and regulations
3.3 Access and Credentials
When we require access to your systems, accounts, or platforms:
- You agree to provide necessary login credentials and access permissions
- You are responsible for maintaining the security of your accounts
- You should update credentials and revoke our access when services conclude
- You acknowledge that delays in providing access may impact project timelines
4. Payment Terms
4.1 Fees and Pricing
Service fees will be outlined in your service agreement or proposal. Unless otherwise specified:
- All prices are in USD
- Fees are exclusive of applicable taxes
- Custom quotes are valid for 30 days unless otherwise stated
- We reserve the right to adjust pricing with 30 days' notice to active clients
4.2 Payment Schedule
Payment terms vary by service type:
- Project-Based Services: Typically require 50% deposit upfront, with balance due upon completion
- Retainer Services: Invoiced monthly in advance
- Hourly Services: Invoiced monthly in arrears
4.3 Late Payments
Invoices are due within 15 days of issuance unless otherwise specified. Late payments may result in:
- Suspension of services until payment is received
- Late fees of 1.5% per month (or the maximum allowed by law)
- Termination of services for accounts more than 30 days overdue
4.4 Refunds
Refund policies are outlined in individual service agreements. Generally:
- Deposits are non-refundable once work has commenced
- Refunds for retainer services are prorated based on work completed
- Rush fees and third-party costs are non-refundable
5. Intellectual Property Rights
5.1 Client-Owned Content
You retain all rights to content you provide (text, images, logos, etc.). By providing content to us, you grant us a non-exclusive, worldwide license to use, modify, and display the content solely for the purpose of delivering our services.
5.2 Alpha2Zulu-Created Work
For custom work we create for you (websites, designs, content, etc.):
- Upon full payment, you receive ownership of the final deliverables
- Ownership transfer does not include our proprietary processes, tools, or templates
- We retain the right to display work in our portfolio unless otherwise agreed
- Source files and working documents may be provided upon request and payment
5.3 Third-Party Assets
Any third-party assets used (stock photos, fonts, plugins, etc.) are subject to their respective licenses. You are responsible for maintaining licenses for ongoing use of these assets.
5.4 Alpha2Zulu Intellectual Property
All Alpha2Zulu branding, processes, methodologies, tools, templates, and proprietary systems remain our exclusive property. You may not reproduce, distribute, or create derivative works without our written permission.
6. Confidentiality
6.1 Mutual Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes:
- Business strategies and plans
- Financial information
- Technical specifications
- Customer data and lists
- Proprietary processes and methodologies
6.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available through no fault of the receiving party
- Was already known to the receiving party
- Is independently developed without use of confidential information
- Must be disclosed by law or court order
7. Project Timelines and Delivery
7.1 Estimated Timelines
Project timelines are estimates based on:
- Project scope and complexity
- Client responsiveness and approval times
- Availability of required materials and access
- Current workload and scheduling
7.2 Delays
We are not liable for delays caused by:
- Client delays in providing feedback, content, or approvals
- Third-party service failures or delays
- Events beyond our reasonable control (force majeure)
- Changes to project scope or requirements
7.3 Revisions
Revision rounds are specified in service agreements. Additional revisions beyond the agreed scope may incur extra charges.
8. Warranties and Disclaimers
8.1 Our Warranties
We warrant that:
- Services will be performed with reasonable skill and care
- We have the right to provide the services offered
- Work will be performed in a professional manner consistent with industry standards
8.2 Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS:
- SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE MAKE NO GUARANTEES REGARDING SPECIFIC RESULTS, RANKINGS, TRAFFIC, OR SALES
- WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
- MARKETING RESULTS DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL
8.3 Third-Party Services
We may recommend or utilize third-party platforms and services (hosting, analytics, social media, etc.). We are not responsible for the performance, availability, or policies of these third parties.
9. Limitation of Liability
9.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
9.2 Exclusion of Damages
WE SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES
- DAMAGES ARISING FROM YOUR USE OF THIRD-PARTY SERVICES
9.3 Basis of the Bargain
You acknowledge that these limitations of liability are a fundamental basis of the agreement between us and reflect a fair allocation of risk.
10. Indemnification
You agree to indemnify, defend, and hold harmless Alpha2Zulu Marketing, its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Content or materials you provide to us
- Your use of our deliverables in a manner not authorized
- Your violation of applicable laws or regulations
11. Termination
11.1 Termination by Client
You may terminate services at any time with written notice. Upon termination:
- You are responsible for payment of all work completed to date
- Deposits and fees for work performed are non-refundable
- We will provide completed work upon receipt of full payment
- Incomplete work may be provided "as is" at our discretion
11.2 Termination by Alpha2Zulu
We may terminate services immediately if:
- You fail to pay invoices within 30 days
- You violate these Terms or service agreements
- You engage in abusive, threatening, or illegal conduct
- Continuing services would violate laws or regulations
11.3 Effects of Termination
Upon termination:
- All outstanding invoices become immediately due
- We will cease work on all active projects
- Access to client portals and admin panels will be revoked
- Confidentiality obligations continue indefinitely
12. Dispute Resolution
12.1 Good Faith Negotiation
In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiation.
12.2 Mediation
If negotiation fails, the parties agree to participate in mediation before pursuing litigation or arbitration.
12.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Alpha2Zulu Marketing operates, without regard to conflict of law principles.
12.4 Jurisdiction
Any legal action related to these Terms shall be brought exclusively in the courts of our jurisdiction, and both parties consent to the personal jurisdiction of such courts.
13. General Provisions
13.1 Entire Agreement
These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Alpha2Zulu Marketing regarding our services.
13.2 Amendments
We may update these Terms from time to time. Material changes will be communicated via email or website notice. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.
13.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
13.5 Assignment
You may not assign or transfer these Terms or any rights hereunder without our written consent. We may assign these Terms to any successor or affiliate.
13.6 Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, internet failures, or government actions.
13.7 Independent Contractors
Alpha2Zulu Marketing is an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

All notices must be in writing and sent to:

14. Client Portal and Admin Panel Terms
14.1 Account Security
If you are provided access to our client portal or admin panel:
- You are responsible for maintaining the confidentiality of your login credentials
- You must not share your account with unauthorized persons
- You must notify us immediately of any unauthorized access
- You are responsible for all activity that occurs under your account
14.2 Acceptable Use
When using our client portal, you agree not to:
- Attempt to gain unauthorized access to any systems or data
- Upload viruses, malware, or malicious code
- Interfere with the proper functioning of the portal
- Use the portal for any illegal or unauthorized purpose
- Reverse engineer or attempt to extract source code
14.3 Data Backup
While we maintain regular backups, you should maintain copies of any critical data you submit through our portal.
15. Web Hosting Services
This section applies specifically to customers who purchase web hosting services from Alpha2Zulu Marketing. If you are not a hosting customer, you may skip this section.
15.1 Hosting Service Description
Alpha2Zulu provides marketing-optimized web hosting services including:
- SSD storage space as specified in your chosen plan
- Unmetered bandwidth
- Email accounts
- cPanel control panel access
- Free SSL certificates
- Daily automated backups
- Malware scanning and security monitoring
- Monthly SEO checkups (plan-dependent)
- Monthly marketing consultations (plan-dependent)
15.2 Acceptable Use Policy for Hosting
Prohibited Activities: You may NOT use our hosting services for:
- Illegal Content: Content violating local, state, federal, or international law
- Spam & Mass Email: Unsolicited bulk email or email marketing without proper opt-in consent
- Malware & Viruses: Hosting, distributing, or transmitting malicious software or harmful code
- Phishing: Attempting to obtain sensitive information through deceptive means
- Copyright Infringement: Hosting pirated software, movies, music, or copyrighted material without permission
- Adult Content: Pornography or sexually explicit material (excluding legitimate health/education sites)
- Hacking Tools: Hosting or distributing hacking scripts, tools, or exploits
- Resource Abuse: Activities excessively consuming server resources or negatively impacting other customers
- Fraudulent Activities: Pyramid schemes, ponzi schemes, or fraudulent operations
- Hate Speech: Content promoting violence, discrimination, or harassment
Resource Usage: While certain plans offer "unlimited" features, you agree to use resources reasonably. Accounts creating excessive server load, consuming excessive CPU cycles, or negatively impacting other customers may be suspended or required to upgrade.
15.3 Hosting Payment Terms
Billing Cycles: Hosting services are billed monthly or annually based on your selected plan, charged at the beginning of each billing cycle.
Automatic Renewal: All hosting plans automatically renew unless you cancel at least 30 days before renewal.
Price Changes: We reserve the right to change pricing with 30 days advance notice. Changes will not affect your current billing cycle.
Late Payments: Accounts with payment failures will be suspended after 5 days. If payment is not received within 15 days, the account may be terminated and data deleted.
15.4 Hosting Refunds
We offer a 30-day money-back guarantee on new hosting accounts. If unsatisfied within the first 30 days, contact us for a full refund. Refunds do NOT apply to:
- Domain name registrations (non-refundable)
- Accounts older than 30 days
- Accounts terminated for Terms of Service violations
- Setup fees (if any)
15.5 Data, Backups & Responsibility
Daily Backups: We perform daily automated backups as a courtesy for disaster recovery purposes. However, these backups are not guaranteed.
YOUR RESPONSIBILITY: You are solely responsible for maintaining your own backups of all data, files, databases, and emails. We strongly recommend independent backups. We are not liable for any data loss.
Data Retention: Upon account cancellation or termination, we retain your data for 30 days, after which all data is permanently deleted. You must download your data before cancellation.
15.6 Uptime & Service Availability
Uptime Guarantee: We strive to maintain 99.9% uptime, excluding scheduled maintenance and force majeure events.
Scheduled Maintenance: We may perform scheduled maintenance with advance notice when possible. Emergency maintenance may occur without notice.
No Compensation: While we strive for maximum uptime, we do not offer service credits or compensation for downtime unless specifically agreed upon in writing.
15.7 Hosting Account Security
You are responsible for:
- Maintaining confidentiality of account credentials (passwords, cPanel access, API keys, etc.)
- Using strong, unique passwords
- Not sharing credentials with unauthorized parties
- Notifying us immediately of any unauthorized access
We implement industry-standard security measures including SSL certificates, malware scanning, and firewall protection. However, no system is 100% secure.
15.8 Hosting Support
Support Channels: Technical support is provided via email (support@alpha2zulumarketing.com), phone (business hours), and 24/7 emergency support for critical issues.
Support Scope: Our support covers hosting-related issues (server configuration, cPanel, email setup, etc.). We do NOT provide support for third-party software debugging, custom code development, or website design/content issues.
15.9 Hosting Cancellation & Termination
Your Right to Cancel: You may cancel hosting service anytime with 30 days written notice (email). No refunds for partial billing periods.
Our Right to Suspend/Terminate: We reserve the right to suspend or terminate your hosting account immediately if you:
- Violate these Terms or Acceptable Use Policy
- Fail to make payment
- Use services for illegal purposes
- Engage in abusive behavior toward our staff
- Create excessive server load or security risks
Data After Termination: Your data will be retained for 30 days for retrieval, then permanently deleted.
15.10 Website Migration Services
Free Migration: We offer free website migration from your previous host for new accounts, including website files, databases, email accounts (if feasible), and DNS configuration assistance.
Timeline: Migrations typically complete within 24-48 hours. Complex migrations may take longer.
Limitations: We make best efforts to migrate all data but cannot guarantee 100% successful migration in all cases. You are responsible for verifying data integrity after migration.
15.11 Domain Name Services
If you register a domain name through us:
- You are bound by the domain registrar's terms and conditions
- Domain renewals are your responsibility
- Domain transfers follow ICANN regulations
- We are not liable for domain expiration or loss
- Domain registration fees are non-refundable
15.12 Hosting-Specific Liability Limitations
IN ADDITION TO THE GENERAL LIABILITY LIMITATIONS IN SECTION 9:
- We are not liable for data loss, business interruption, lost profits, or other damages resulting from hosting service issues
- Hosting services are provided "as is" without warranties of any kind
- Our total liability for hosting-related claims shall not exceed the amount paid by you for hosting services in the 12 months preceding the claim
- We are not responsible for third-party actions, including DDoS attacks, hacking attempts, or hosting provider infrastructure failures
15.13 Hosting Indemnification
In addition to Section 10, you specifically agree to indemnify Alpha2Zulu from any claims arising from:
- Content you host on our servers
- Violation of the Acceptable Use Policy
- Spam, malware, or illegal activities conducted through your hosting account
- Resource abuse or actions that negatively impact other customers
